Terms of Service

These terms are an agreement between you and Lume Grid LLC ("Conjure," "we," "us"), 4821 Lankershim Boulevard, Suite F 303, North Hollywood, CA 91601, governing your use of Conjure at onconjure.com and app.onconjure.com. By creating an account or using the service, you accept them. You must be at least 16 and able to enter a contract.

1. Your account

Keep your account information accurate and your credentials to yourself. An account belongs to one person. You're responsible for activity under your account.

2. The service

Conjure is a design tool that pairs precision editing with Iris, an AI you direct with references, selections, and constraints. Beta: while Conjure is in beta, features may change or be withdrawn, included credits may be provided at no charge and adjusted or revoked, and the service is provided as-is. We make a good-faith effort at continuity of your work, and you can export your designs at any time.

3. Your content

You own your content — your designs, uploads, and the output of your work with Iris, as between you and us. You grant us only the license required to operate the service: to host, store, process, render, transmit, and display your content, including to the people you share it with. We claim no other rights in your work.

You're responsible for your content: you must have the rights to anything you upload, and your use of Iris-generated output is your responsibility, including review for your purposes.

4. AI features

Iris generates outputs from your direction and your content. AI output can be imperfect; you decide what to accept. Content you send to Iris is processed by our AI service provider as described in the Privacy Policy.

5. Acceptable use

Don't use Conjure to break the law, infringe others' rights, or distribute malware or harmful content. Don't circumvent usage limits, rate limits, or security measures; don't access or attempt to access other users' data; don't resell access to the service or automate generation beyond ordinary product use.

6. Plans, credits, and limits

Plans include a monthly allotment of credits; different actions use different amounts, shown in the product. Included credits expire at the end of each calendar month and don't roll over. Purchased credit blocks remain valid for 12 months and are used after included credits. Usage limits, rate limits, and storage limits apply to all plans; there are no unlimited plans. We may temporarily pause AI features to protect service integrity; editing, viewing, and exporting your work are not affected by such pauses.

7. Billing

This section applies when paid plans are available. Payments are processed by Stripe; your card details go directly to Stripe and never touch our servers. Pricing is shown at purchase. Subscriptions renew monthly and are billed to your payment method until you cancel. We may change prices with at least 30 days' notice; changes take effect at your next renewal. You can cancel anytime through the billing portal; cancellation takes effect at the end of the current billing period, with access through the period's end and no prorated refunds. Refunds are otherwise at our discretion, except where required by law. Credit block purchases are one-time and non-refundable once made, except where required by law, and purchase limits apply. If a payment fails or is disputed, we may suspend AI generation on your account; we don't lock you out of viewing or exporting your work over a billing issue. You're responsible for applicable taxes, which are shown at checkout where collected.

8. Sharing

Share links make the included content accessible to invited recipients or anyone with the link, per your configuration. You control your shares and can revoke them. You're responsible for what you choose to share.

9. Copyright complaints (DMCA)

We respond to notices of claimed copyright infringement under 17 U.S.C. § 512. Our designated agent:

A notice must include: identification of the copyrighted work; identification and location of the allegedly infringing material; your contact information; a statement of good-faith belief that the use is unauthorized; a statement, under penalty of perjury, that the notice is accurate and you're authorized to act for the rights holder; and your physical or electronic signature. If your content is removed and you believe that was a mistake, you may send a counter-notice with the elements required by § 512(g). We terminate the accounts of repeat infringers.

10. Termination

You can delete your account at any time from account settings; export your work first. We may suspend or terminate accounts that violate these terms. Sections that by their nature survive (content ownership, disclaimers, liability limits, disputes) survive termination.

11. Disclaimers

The service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the service will be uninterrupted or error-free.

12. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, and our total liability for all claims relating to the service is limited to the greater of the amounts you paid us in the 12 months before the claim or $100. Nothing in these terms limits liability that can't be limited by law.

13. Indemnification

You'll defend and indemnify Lume Grid LLC against third-party claims arising from your content or your violation of these terms.

14. Disputes

If something goes wrong, email support@onconjure.com first — we'll make a good-faith effort to resolve it informally within 30 days. Any dispute not resolved informally will be handled in the state or federal courts located in Los Angeles County, California, and these terms are governed by California law, without regard to conflict-of-laws rules.

15. Changes to these terms

We may update these terms; for material changes we'll give notice through the service or by email before they take effect. Continued use after the effective date is acceptance.

16. Miscellany

These terms and the Privacy Policy are the entire agreement between us about the service. If a provision is unenforceable, the rest stand. You may not assign these terms; we may assign them in connection with a merger, acquisition, or sale of assets.
